Terms of Service

1. Acceptance of Terms

By purchasing or using Pay4SaaS, you enter into a legally binding agreement with Pay4SaaS ("we", "us", or "our"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not purchase or use the Service.

2. Description of Service

Pay4SaaS is a one-time purchase software template focused on payment integration scenarios. It is designed to help developers and indie makers rapidly complete foundational SaaS setup — including payment flows, subscription logic, and related infrastructure — so they can focus on building their core product features.

Core Features

• Pre-built payment integration scaffolding for common SaaS billing scenarios
• Codebase with authentication, subscription management, and 4 pricing models
• GitHub repository access to the template project upon purchase
• Documentation and setup guides for configuration and deployment

Nature of Purchase

Pay4SaaS is sold as a one-time purchase software template. You are purchasing a license to use the template code, not a subscription service. There are no recurring charges after your initial purchase.

3. Account Registration

Eligibility

By registering or purchasing the Service, you represent that you are a human (not an automated program), that all information you provide is accurate and current, and that you will maintain the accuracy of such information.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You accept full responsibility for all activities that occur under your account. If you discover or suspect any unauthorized use of your account, you must notify us immediately at cloudballball@gmail.com.

Account Accuracy

You agree to provide accurate, truthful, and complete information when registering and to promptly update your account information when it changes. Providing false information may result in immediate termination of your account without refund.

4. Purchase and Payment

Pricing

Pay4SaaS is a one-time purchase product. The current price is listed on our Pricing page. All listed prices are inclusive of applicable taxes unless otherwise noted at checkout.

Payment Methods

We accept payment via credit card, debit card, PayPal, and Creem. All payments are processed through our third-party payment processors. By submitting a payment, you authorize us to charge the applicable amount to your selected payment method.

Payment Failures

If your payment fails:

• We will automatically retry the charge up to 3 times.
• If all retries fail, your access may be suspended until payment is successfully completed.
• If payment is not resolved within 7 days, your account may be terminated.

Price Changes

We reserve the right to adjust pricing at any time with at least 30 days' advance notice via our website. Price changes apply only to new purchases made after the effective date of the change.

5. Refund Policy

Eligible Refund Window

If you have not yet been added to the Pay4SaaS GitHub organization, you may request a refund by emailing cloudballball@gmail.com with your order details. Eligible refunds are processed within 7–10 business days.

Payment Processing Fee Deduction

All refunds are subject to deduction of non-refundable payment processing fees. These are third-party costs we cannot recover.

(1) PayPal Payments

For payments made via PayPal, refunds are processed after deducting PayPal's transaction fee of 4.4% + fixed fee (fixed fee varies by currency):

(2) Creem Payments

For payments made via Creem, refunds are processed after deducting Creem's transaction fee of 3.9% + $0.40.

No Exceptions

We do not offer refunds for change of mind, failure to use the product, or dissatisfaction after GitHub access has been granted. We strongly encourage you to review all publicly available documentation before purchasing.

6. Prohibited Conduct

By using Pay4SaaS, you agree not to:

General Prohibitions

• Use the Service for any purpose that is unlawful or prohibited by these Terms.
• Upload, transmit, or distribute viruses, malware, ransomware, or any other harmful code.
• Harass, threaten, defame, or otherwise violate the rights of any person or entity.
• Collect personal information from others without consent, or send unsolicited commercial messages (spam).

Technical Abuse

• Conduct brute-force attacks, DDoS attacks, or send excessive automated requests to our systems.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any non-open-source components.
• Circumvent, disable, or otherwise interfere with security features of the Service.

Account Abuse

• Share your account credentials with multiple individuals. Each purchase is a single-user license.
• Create multiple accounts to circumvent usage restrictions.
• Resell, sublicense, redistribute, or re-license the template itself to third parties. (You may use the template to build and sell your own SaaS products to your own customers.)

Content

• Upload or distribute content that infringes on the intellectual property rights of any third party.
• Upload or distribute content that is illegal, obscene, defamatory, threatening, or invasive of privacy.
• Impersonate any person or entity, or provide false information.

7. Intellectual Property

Our Ownership

All software code (excluding your own additions), design elements, trademarks, trade names, logos, and the "Pay4SaaS" brand are and remain the exclusive property of Pay4SaaS. These Terms do not grant you any right, title, or interest in the Service beyond the limited license described below.

License Grant to You

Upon completing your purchase, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Pay4SaaS codebase for your own personal and commercial SaaS development projects. You are receiving a license to use the software, not ownership.

Your Content

Any content you upload or create through the Service ("User Content") remains your property. You retain full ownership of your User Content.

By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to: (1) use and process your content solely to provide the Service; (2) display your work in our marketing materials (case studies, showcases), but only with your prior consent; and (3) use aggregated, anonymized insights to improve our product. We will not sell your original data to third parties.

DMCA and Copyright Infringement

If you believe content available through the Service infringes your copyright, please send a written notice to cloudballball@gmail.com (Subject: "DMCA Notice") including: identification of the copyrighted work, identification of the infringing material, your contact information, a good faith statement, and a statement under penalty of perjury that you are authorized to act. We will promptly investigate and remove or disable access to allegedly infringing content.

8. LIMITATION OF LIABILITY

In plain English: If something goes wrong, the most you can recover from us is what you paid us — no more.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If you are a resident of such a jurisdiction (including certain EU member states), some of the above limitations may not apply to you, and your statutory rights remain unaffected.

9. DISCLAIMER OF WARRANTIES

In plain English: We do our best, but we can't promise the software will be perfect, bug-free, or always available. Back up your own work.

10. Termination and Suspension

Suspension or Termination by Us

We may suspend or permanently terminate your access to the Service, without prior notice or refund, if we determine that you have: violated any provision of these Terms; engaged in fraudulent, abusive, or illegal activity; abused or misused the Service; or failed to resolve a payment issue within 7 days of notification.

Termination of the Service by Us

We reserve the right to discontinue the Pay4SaaS Service at any time. We will provide at least 30 days' advance notice via our website. In the event of a permanent shutdown, we will not provide refunds, but will give users sufficient time to download and export their data and copies of the template.

Modification of Features

We will provide at least 30 days' notice before making significant feature changes, and at least 7 days' notice before removing a feature entirely.

Effect of Termination

Upon termination: your license to use the Service ends immediately; we will retain your account data for 30 days following termination before permanently deleting it; and Sections 7, 8, 9, 11, and 15 survive termination.

11. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

BINDING ARBITRATION

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Wilmington, Delaware. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER

If this class action waiver is found unenforceable, the entire arbitration clause will be null and void.

Exceptions

Either party may bring an individual action in small claims court or seek emergency injunctive or equitable relief in the state or federal courts located in Delaware to protect intellectual property rights pending arbitration.

Court Jurisdiction (Fallback)

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

Attorney's Fees

Each party shall bear its own attorney's fees and costs in connection with any dispute, regardless of outcome.

In plain English: If we have a dispute, we resolve it through individual arbitration in Delaware — not through a class action lawsuit.

12. Third-Party Services and Links

The Service may integrate with or rely upon third-party services, including payment processors (PayPal, Creem), analytics tools, and other infrastructure. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is governed by their own terms of service and privacy policies.

The Service or our website may include links to external websites. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them.

13. Data and Privacy

• Your privacy matters to us. Our collection and use of your personal data is described in our Privacy Policy, available at www.pay4saas.com/privacy.
• Your data belongs to you. We do not claim ownership over your personal data or User Content.
• You may export your data at any time through the Service or by contacting us.
• You may request deletion of your personal data at any time. See our Privacy Policy for details.
• If you are located in the EU/EEA, we process your data in accordance with the GDPR.
• If you are a California resident, we process your data in accordance with the CCPA.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and post a notice of material changes on our website at least 30 days before the new Terms take effect.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the new Terms. If you do not agree, you should stop using the Service.

15. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pay4SaaS regarding the Service and supersede all prior communications and agreements, whether written or oral.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Pay4SaaS.

Assignment

We may assign or transfer our rights and obligations under these Terms at any time, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights or obligations, or your account, without our prior written consent. Any attempted assignment by you in violation of this provision is void.

Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, internet outages, power failures, or government actions.
